All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Florida without giving effect to any choice or conflict of law provision or rule (whether of the State of Florida or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, in each case located in or serving Pinellas County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, Global Good Corp. may seek temporary, preliminary, or permanent injunctive or other equitable relief in any court of competent jurisdiction to prevent or address actual or threatened infringement, misappropriation, unauthorized access, or violation of its intellectual property or proprietary rights.

13. Changes to These Terms

Global Good Corp. may update these Terms from time to time. If we make changes, we will post the revised Terms on the Site and update the “Last Updated” date above. Unless otherwise stated, revised Terms become effective when posted. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. 14. Termination

Global Good Corp. may suspend or terminate your access to the Site or any account, portal, feature, or portion of the Site at any time, with or without notice, including if Global Good Corp. believes that you have violated these Terms, created a security risk, or acted in a manner harmful to Global Good Corp., the Site, or another person. Global Good Corp. may also withdraw, modify, suspend, or discontinue any feature or portion of the Site at any time without liability.

Upon termination, your right to use the Site will immediately cease. Provisions that by their nature should survive termination, including provisions concerning intellectual property, Feedback, warranty disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms, will survive.

15. Geographic Restrictions

The owner of the Site, Global Good Corp. operates the Site from Largo, Florida and does not, through the Site, conduct or solicit business outside of the U.S. We provide this Site for use only by persons located in the United States. We make no claims that the Site or any of its content is accessible, lawful, or appropriate outside of the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local laws, rules, and regulations. 15. Miscellaneous

16.1 Entire Agreement. The Terms, the Privacy Policy, and any applicable Additional Terms constitute the sole and entire agreement between you and Global Good Corp. regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. These Terms bind and benefit the parties and their permitted successors and assigns.

16.3 Severability. If any provision of these Terms is held to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permissible and, if necessary, severed, without affecting the validity or enforceability of the remaining provisions.

16.4 No Waiver. Global Good Corp.’s failure or delay in exercising or enforcing any right or provision of these Terms will not constitute a waiver of that right or provision. A waiver will be effective only if in writing and signed by an authorized representative of Global Good Corp.

16.5 No Relationship. Nothing in these Terms creates any partnership, joint venture, employment, agency, fiduciary, healthcare provider-patient, or other special relationship between you and Global Good Corp.

16.6 Headings. Section headings are provided for convenience only and do not affect the interpretation of these Terms.
